DEVELOPER FUNDING SUBMISSION TERMS AND CONDITIONS

By submitting your game or related materials (the “Submission”) through this Developer Funding Submission Form (the “Form”), you (“Developer”) acknowledge and agree to the following Terms and Conditions (“Terms”) between you and Graffiti Games Inc. (“Graffiti Games”, “we”, “us”, or “our”).

1. Eligibility

You represent and warrant that:

  • You are the rightful owner, authorized representative, or license holder of the game and related intellectual property submitted.
  • You have the full authority to submit the game for consideration under these Terms.
  • You are at least 18 years of age or have the legal capacity to enter into binding agreements in your jurisdiction.

2. Submission and Evaluation

  • By submitting your game, you grant Graffiti Games and its affiliated entities (including Mintplay Technologies Inc.) permission to review, evaluate, and consider your game for potential funding, publishing, marketing, or partnership opportunities.
  • Submissions are non-confidential. You acknowledge that Graffiti Games may already be developing or receiving submissions for similar ideas, and no obligation or liability arises from similarities between your submission and existing or future projects.
  • Graffiti Games may, at its sole discretion, contact you for further information or to pursue funding, publishing, or partnership discussions.

3. Consent to Mintplay Participation

By submitting your game through this Form, you expressly acknowledge and agree that:

  • Your game may be considered for inclusion on Mintplay, a crowdfunding and community platform operated by Mintplay Technologies Inc., an affiliate of Graffiti Games.
  • Inclusion on Mintplay may involve public visibility of your game’s title, description, images, and/or related promotional materials as part of crowdfunding, marketing, or community initiatives.
  • You grant Graffiti Games and Mintplay Technologies a non-exclusive, royalty-free, worldwide license to display, share, and promote your submission on Mintplay and related Graffiti Games channels for evaluation and community engagement purposes.
  • No financial obligation, equity, or contractual publishing relationship is created solely by submission or inclusion on Mintplay. Any subsequent agreements will be subject to separate written terms.

4. Intellectual Property Rights

  • You retain ownership of all intellectual property rights in your submitted materials.
  • You grant Graffiti Games and Mintplay a limited license to use, display, and promote your submission for evaluation, community engagement, and marketing purposes related to Graffiti Games and Mintplay.
  • You affirm that your submission does not infringe upon any third-party rights or violate any applicable laws.

5. Confidentiality and No Obligation

  • Graffiti Games and Mintplay are under no obligation to treat your submission as confidential.
  • Submission does not create any obligation for funding, publishing, or partnership.
  • You understand and agree that Graffiti Games may decline or not respond to your submission for any reason.

6. Indemnification

You agree to indemnify, defend, and hold harmless Graffiti Games, Mintplay Technologies Inc., and their respective officers, directors, employees, contractors, and affiliates from any claims, damages, or liabilities arising from or related to your submission, including any alleged infringement of third-party rights.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Vancouver, British Columbia.

8. Modifications

Graffiti Games reserves the right to modify or update these Terms at any time without prior notice. The current version will always be available on the Graffiti Games website.

9. Acceptance

By clicking “Submit” or otherwise submitting your game through this Form, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
